1Who we are and who you are
1.1. Us. The Services are provided by NLS ("we", "us").
1.2. You. "Customer" or "you" means the company or individual entrepreneur that registers for the Services. If you accept these Terms on behalf of a company, you confirm that you are authorised to bind that company, and "you" refers to the company.
1.3. Business use only. The Services are intended solely for businesses and professionals acting in the course of their trade or business. They are not offered to consumers, and consumer protection rules that apply only to consumers do not apply to the Agreement.

3The Services
3.1. Right to use. Subject to your compliance with the Agreement and payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right to use the Services during the term of the Agreement for your internal business purposes.
3.2. Changes to the Services. We continuously develop the Services and may add, change or remove features. If we remove a feature that is material to your paid plan, we will give you reasonable notice. Features marked as beta, preview or early access are provided as is, may change or be withdrawn at any time, and are excluded from any service commitments.
3.3. Trial. We may offer a free trial or a free plan. During a trial, the Services are provided as is, limits may be stricter than on paid plans, and we may end the trial at any time. Customer Data created during a trial may be deleted if you do not move to a paid plan within the period shown in your account.
4Accounts, Workspaces and Members
4.1. Registration. You must provide accurate information when registering and keep it up to date.
4.2. Your Members. You decide who becomes a Member and which role and access scope each Member receives. You are responsible for all actions taken by your Members and through their credentials, and for making sure they comply with the Agreement.
4.3. Credentials and security. You are responsible for keeping credentials confidential, enabling the security features available to you (including two-factor authentication), and promptly removing access for Members who should no longer have it. Notify us without delay at info@nlscrm.com if you suspect unauthorised access to your account.
4.4. One person, one login. Credentials may not be shared between individuals.
5Customer Data
5.1. Ownership. As between you and NLS, you own Customer Data. We do not acquire any rights to it except as set out in the Agreement.
5.2. Our use of Customer Data. We process Customer Data only to provide, secure, maintain and support the Services, to comply with law, and as otherwise instructed by you through your use of the Services.
5.3. Your responsibility for Customer Data. You are responsible for the accuracy, legality and quality of Customer Data and for having all rights, notices and consents needed for us to process it under the Agreement. This includes providing End Users with any notices and obtaining any consents required by applicable law for tracking their interactions, including the use of cookies and similar technologies on your domains and landing pages.
5.4. Personal data. Our Privacy Policy explains how we process personal data for which we are the controller, such as account and billing data and data of visitors to our website. For personal data contained in Customer Data, including End User data, you act as the controller and we act as your processor. Our Data Processing Agreement forms part of these Terms and applies to such processing.
5.5. Retention and export. Customer Data is retained for the data retention period of your plan. You can export your data from the Services in the formats available in the product at any time while your account is active. After the Agreement ends, you will have 30 days to export your data, after which we may delete it, except where we must keep it by law.
5.6. Backups. We take reasonable measures to protect Customer Data against loss. The Services are not a backup service, and you should keep your own copies of data that is important to you.
6Usage Data
6.1. Usage Data. We may collect and use Usage Data to operate, secure, support and improve the Services.
6.2. Aggregated data. We may create aggregated, de-identified statistics from Usage Data and Customer Data that do not identify you, your Members or any End User, and use them to improve the Services. We will not disclose such statistics in a way that identifies you as their source.
6.3. No sale of data. We do not sell Customer Data or share it with third parties for their own marketing purposes.
7Third-Party Platforms
7.1. Your accounts, your responsibility. When you connect an advertising account, affiliate network, proxy, domain or any other Third-Party Platform to the Services, you confirm that you are authorised to use that account or resource and to let the Services access it on your behalf. Your use of each Third-Party Platform is governed by its own terms and policies, and you are solely responsible for complying with them.
7.2. Connection methods. The Services may connect to Third-Party Platforms using the methods we support from time to time, including session data you transfer to us with the NLS browser extension or otherwise, official APIs and proxies you provide. We store session data in encrypted form and use it only to perform the functions you request.
7.3. Enforcement by Third-Party Platforms. Third-Party Platforms may restrict, review, suspend or terminate your accounts, ads or access at their sole discretion. NLS is not responsible for any such action, including account bans, checkpoints, ad rejections, spending limits or loss of access, regardless of whether the Services were used in connection with the affected account.
7.4. No guarantee of execution. Actions you initiate through the Services, such as starting or pausing campaigns or changing budgets, are executed through Third-Party Platforms that we do not control. We do not guarantee that an action will be accepted, executed, or executed within a given time, or that the status displayed in the Services will always match the state of the Third-Party Platform. You should verify important changes directly in the relevant Third-Party Platform.
7.5. Third-party data. Data received from Third-Party Platforms, such as advertising spend or conversion statuses from affiliate network postbacks, is provided as reported by those platforms. We are not responsible for its accuracy, completeness or delays. The Services can only reflect conversions and spend that are reported to them.
7.6. Changes by Third-Party Platforms. If a Third-Party Platform changes or restricts its services, interfaces or terms, some features of the Services may stop working or change. This is not a breach of the Agreement by NLS.
8AI Assistant
8.1. How it works. The AI Assistant acts on behalf of the Member who uses it and only within that Member's existing access rights. It does not have independent access to your data.
8.2. Proposed changes require confirmation. The AI Assistant does not change your data or your advertising on its own. Any change it prepares is applied only after confirmation by an authorised Member. Your Company administrators control whether the AI Assistant can propose changes and to what extent.
8.3. Outputs may be inaccurate. AI outputs are generated automatically and may be incomplete, inaccurate or out of date. You are responsible for reviewing outputs before relying on them and for every decision and action taken based on them, including any change you confirm.
8.4. AI service providers. To provide the AI Assistant, we send relevant Customer Data and prompts to third-party AI model providers acting as our subprocessors, as described in our Privacy Policy.
8.5. Credits. Use of the AI Assistant may be limited by credits included in your plan or purchased separately. Unused credits expire at the end of the period stated in your account and have no cash value.
9Fees and payment
9.1. Fees. Fees for paid plans and add-ons are set out on our pricing page, in your account or in an order form. Fees are payable in advance for the selected billing period (monthly or multi-month).
9.2. Plan limits and upgrades. Each plan includes limits, such as the number of seats, monthly events and data retention period. If your usage exceeds the limits of your plan by more than 10%, we may move you to the next plan or charge for the excess at the rates shown on the pricing page, after notifying you in the Services or by email.
9.3. Payment methods. You can pay by card through Stripe or in cryptocurrency through Plisio. Card details are processed by Stripe and are not stored by NLS. Each payment provider applies its own terms, which you accept when you use it.
9.4. Card payments and renewal. If you pay by card, you authorise us to charge your card for each renewal period and for any upgrades or excess usage under Section 9.2. Your subscription renews automatically for the same billing period unless you cancel before the end of the current period. If a charge fails, we may retry it and suspend the Services under Section 9.8 until payment is received.
9.5. Cryptocurrency payments. Cryptocurrency payments are made for each billing period separately and do not renew automatically; to continue using the Services, you must pay before the current period ends. You are responsible for sending the correct amount, in the correct asset, to the correct address and network. Network fees are borne by you. Payments sent to a wrong address or network, or in an incorrect amount, may be unrecoverable, and we are not responsible for such losses. Payment is credited at the amount and rate fixed in the invoice at checkout, once the transaction is confirmed by the network.
9.6. Refunds. Except where mandatory law requires otherwise, fees are non-refundable, including for partial periods, downgrades and periods in which the Services were not used.
9.7. Taxes. Fees do not include taxes. You are responsible for all applicable taxes other than taxes on our income.
9.8. Non-payment. If payment is overdue, we may suspend the Services after notifying you. Suspension does not release you from the obligation to pay.
9.9. Chargebacks. If you dispute a card payment with your bank instead of contacting us first, we may suspend the Services until the dispute is resolved. An unfounded chargeback is a breach of the Agreement, and we may contest it and terminate the Agreement under Section 13.3.
9.10. Price changes. We may change prices with at least 30 days' notice. New prices apply from your next billing period.
10Acceptable use
10.1. Prohibited use. You shall not use the Services, including any domains, landing pages, offers or redirects configured through the Services, to:
(a) advertise, promote or sell products or services that are unlawful or infringe the rights of third parties, including counterfeit goods, unauthorised use of copyrighted materials, or goods and services offered in violation of consumer protection laws;
(b) conduct any activity prohibited by applicable law, including fraud, deceptive practices or the distribution of malicious code;
(c) violate the terms, policies or advertising standards of any Third-Party Platform you connect to or use with the Services, or circumvent their review, moderation or enforcement mechanisms.
10.2. Restrictions on the Services. You shall not, and shall not allow others to:
(a) resell, sublicense, rent or provide the Services to third parties, except to your Members;
(b) copy, modify, decompile, reverse engineer or attempt to extract the source code of the Services, except where the law expressly allows it;
(c) bypass or test the security, access controls or usage limits of the Services without our written permission;
(d) interfere with or disrupt the Services or the infrastructure used to provide them, including by sending excessive automated requests;
(e) use the Services to build a competing product or to copy their features, design or documentation;
(f) upload malware or any content that is unlawful or infringes third-party rights.
10.3. Sanctions. The Services are not available to persons or entities that are subject to sanctions imposed by the European Union, the United Kingdom, the United States or the United Nations, or that are located, established or resident in a territory subject to comprehensive sanctions. By using the Services, you confirm that neither you nor any of your Members or beneficial owners falls within these categories, and that you will not use the Services for the benefit of anyone who does. We may restrict access to the Services in any jurisdiction where this is needed to comply with sanctions or export control laws.
11Our role and abuse reports
11.1. Neutral tool. NLS provides software tools. We do not create, select, review or approve your campaigns, offers, landing pages, ads or any other Customer Data, and we do not monitor them as a general practice. You are solely responsible for them and for your advertising activity.
11.2. Our right to act. Although we are not obliged to monitor, we may investigate any suspected breach of the Agreement and remove or disable access to content, domains or redirects that we reasonably believe to be unlawful or in breach of Section 10.
11.3. Abuse reports. Anyone may report content or activity connected to the Services that they believe is unlawful or in breach of these Terms by writing to abuse@nlscrm.com. A report should identify the content (for example, the exact URL or domain), explain why it is believed to be unlawful or in breach, and include the reporter's name and contact details. We confirm receipt of complete reports within one business day and aim to decide on them within three business days. We may ask the reporter or the Customer for more information. Reports are processed by people, not by automated moderation.
11.4. Actions on reports. If we conclude that content or activity is unlawful or breaches these Terms, we may, depending on severity: disable the specific landing page, offer, domain or redirect; suspend the affected Workspace or the Customer's hosted content as a whole; or terminate the Agreement under Section 13. Where we act, we notify the Customer of the action and its reason, unless we are legally prevented from doing so or the notice would obstruct an investigation, and the Customer may respond to abuse@nlscrm.com with objections, which we will review in good faith. We inform the reporter of our decision where we have their contact details. We may decline to process repeated, manifestly unfounded reports after warning the reporter.
11.5. Cooperation with authorities. We may disclose Customer Data and information about you to competent authorities where we are required to do so by law or by a binding order. Our contact point for authorities and users is abuse@nlscrm.com.
12Confidentiality
Each party will keep confidential all non-public information received from the other party in connection with the Agreement that is marked as confidential or should reasonably be understood to be confidential, and will use it only to perform the Agreement. This does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known to it before, or was independently developed. A party may disclose confidential information where required by law, after notifying the other party where legally permitted. These obligations survive for five years after the Agreement ends.
13Suspension and termination
13.1. Termination by you. You may stop using the Services and close your account at any time. Closing an account does not entitle you to a refund of prepaid fees.
13.2. Suspension by us. We may immediately suspend all or part of the Services, including your account, domains, traffic processing and the AI Assistant, with or without prior notice, if:
(a) you breach or we reasonably suspect that you breach Section 10, or your use of the Services is otherwise unlawful;
(b) your use of the Services poses a security risk or may harm NLS, other customers or third parties;
(c) payment is overdue;
(d) we are required to do so by law, a court or a competent authority.
We will lift the suspension once the reason for it no longer exists, unless we terminate the Agreement.
13.3. Termination by us. We may terminate the Agreement by notice if you materially breach it and, where the breach can be remedied, do not remedy it within 14 days of our notice. We may terminate immediately for breaches of Section 10, repeated breaches, fraudulent payment activity or unfounded chargebacks. We may also terminate for convenience with 30 days' notice and a pro rata refund of prepaid fees for the unused period.
13.4. Ban on re-registration. If we terminate the Agreement because of your breach, you may not register a new account or use the Services through another person without our written consent. We may use technical measures to enforce this.
13.5. Effect of termination. When the Agreement ends, your right to use the Services ends. If we terminate because of your breach, you are not entitled to a refund of any prepaid fees. Section 5.5 governs export and deletion of Customer Data. Provisions that by their nature should survive termination will survive it.
14Intellectual property and feedback
14.1. Our property. The Services, including the software, design, documentation and trademarks, are owned by NLS or its licensors. Except for the rights expressly granted in the Agreement, no rights are transferred to you.
14.2. Feedback. If you give us suggestions or feedback, we may use them freely without any obligation to you.
14.3. Publicity. We will not use your name or logo in our marketing without your prior consent.
15Warranties and disclaimers
15.1. Your warranties. You warrant that you have all rights needed to use the Services as you do, to provide Customer Data, and to connect the Third-Party Platforms and accounts you connect.
15.2. Disclaimer. The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
15.3. No guarantee of results. We do not guarantee any business result from the use of the Services, including any level of traffic, conversions, revenue, profit or return on ad spend. All decisions about your campaigns and spend are yours.
16Indemnification
You will defend, indemnify and hold harmless NLS, its affiliates and their directors, employees and contractors from and against all claims, losses, damages, fines, penalties and costs, including reasonable legal fees, arising out of or related to:
(a) Customer Data, your campaigns, offers, landing pages and advertising activity;
(b) your use of Third-Party Platforms, including any claim by a Third-Party Platform;
(c) your or your Members' breach of the Agreement or of applicable law;
(d) any claim by an End User or a data protection authority relating to data you collected through the Services.
17Limitation of liability
17.1. Excluded damages. To the maximum extent permitted by law, NLS will not be liable for any indirect, incidental, special or consequential damages, or for any loss of profit, revenue, business, goodwill or data, or for losses resulting from actions of Third-Party Platforms, however caused, even if advised of their possibility.
17.2. Cap. To the maximum extent permitted by law, NLS's total liability arising out of or related to the Agreement will not exceed the fees you paid to NLS in the 12 months before the event giving rise to the claim, or USD 100 if you have not paid any fees.
17.3. Exceptions. Nothing in the Agreement limits liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
18Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or in the Services at least 14 days before they take effect, unless a change is required by law or relates to new features. If you do not agree to a change, you may close your account before it takes effect. Continued use of the Services after a change takes effect means that you accept it.
19Governing law and disputes
The parties will first try to resolve any dispute through good-faith negotiations, and will make every effort to settle it within 30 days of one party notifying the other of the dispute.
20General
20.1. Entire agreement. The Agreement is the entire agreement between the parties on its subject matter and supersedes prior discussions. In case of conflict, a signed order form prevails over these Terms, and these Terms prevail over other documents.
20.2. Assignment. You may not assign the Agreement without our written consent. We may assign it to an affiliate or to a successor in a merger, acquisition or sale of assets.
20.3. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including war, military action, air raids, power or internet outages, cyberattacks, actions of authorities and failures of Third-Party Platforms or hosting providers. This does not apply to payment obligations.
20.4. Notices. We may send notices to the email address of your account owner or display them in the Services. You may send notices to abuse@nlscrm.com. Email meets any requirement for written form.
20.5. Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect, and the invalid provision will be replaced with a valid one closest to its intent.
20.6. No waiver. Failure to enforce any provision is not a waiver of it.
20.7. Language. These Terms may be provided in several languages. In case of discrepancy, the English version prevails.
20.8. Contact. abuse@nlscrm.com.
